Business
For over 35 years, Joseph Bernstein has been involved in negotiating complex domestic and international business transactions. Noteworthy examples include:
- Negotiation with the Government of Russia relating to the private development of a $1 billion, country-wide, wireless television infrastructure network.
- Negotiations with Shimon Peres, Minister of Regional Cooperation of Israel, and His Majesty King Abdullah of Jordan, and execution of an agreement between a United States development group and the Governments of Israel and Jordan relating to a proposed $2 billion joint regional entertainment project, the "Desert Kingdom", endorsed by the King of Jordan and Government of Israel as a cross-border development following execution of a peace treaty between the two countries.
- Negotiations with His Majesty King Abdullah and Prime Minister Ali Abu al-Rhageb of Jordan, and execution of an agreement with Chairman Mohammed Kalaldeh of the Aqaba Special Economic Zone Authority (ASEZA) for development of over $1 billion in hotels, casinos, theme parks, shopping centers, residential communities, and golf courses, including a $150 million equity financing commitment from Poalim Investments.
- Negotiation with the Prime Minister and President of Romania and the Mayor of the City of Bucharest for a proposed development of "Euromania", a $2 billion entertainment city in Bucharest, including hotels, theme park and casinos.
- Representation of President Ferdinand Marcos and Imelda Marcos on personal and business matters, including hundreds of millions of dollars in property acquisitions in the United States, tax planning, formation of Panamanian, Netherlands Antilles, and British Virgin Islands corporations, preparing trust agreements, and negotiating mortgage and financing agreements for the property companies with Arab Banking Corporation, Citibank N.A., Security Pacific National Bank and Banque de Paris et des Pays Bas.
- Acquisition in 1995 of a privately held racing corporation that owned the Monticello Raceway, regulated by the New York State Racing & Wagering Board, a merger of the company in 2004 into Empire Resorts, Inc. (NASDAQ: NYNY), in which Mr. Bernstein subsequently served as CEO, followed by a raise in 2009 of $65 million from Kien Huat Realty III, Ltd., an Isle of Mann corporation controlled by Malaysian investors.
- Acquisition of stock in Air Methods Corporation (NASDAQ: AIRM), the nation’s leading air medical carrier, bridge financing, and the purchase of competing air medical carriers. Company grew from $25 million in revenues to $500 million, and from 25 to 350 helicopters.
- Organization, membership agreements and solicitation materials for Israel by the Sea Resort & Club, a private golf and residence club in Israel.
- Application to the Export-Import Bank of the United States for financing of a $350 million entertainment city in Israel.
- Establishment of a hospital-based emergency medical computer network, acquisition of a hospital health card company, analysis of legal concerns relating to creation of a computerized health record system to store individual health records, and drafting guidelines for maintaining the privacy and security of individual medical records and electronic access and distribution of the data to health care providers.
- Tax planning, licensing and distribution agreements for music producers and artist management companies.
- Organization of corporations, limited liability companies, partnerships and trusts.
- Negotiation of joint venture, partnership, shareholder and executive compensation agreements.
- Venture capital, development, private placement, credit and financing agreements.
- Mergers of private business interests and public companies.
